    Douglas E. Ziegenfuss, PhD
    Dr. Douglas E. Ziegenfuss is a Professor on the faculty of the School of Accountancy, Strome College of Business, at Old Dominion University in Norfolk, Virginia, where he also teaches auditing courses. Dr. Ziegenfuss has a BA in Philosophy/History from Mount Saint Mary=s College (magna cum laude), a MS in Accounting from American University, and a Ph.D. in Accounting from Virginia Commonwealth University. He is a CPA, CMA, CIA, CFE, CGFM, CISA, CCSA, and CFFP. 
    Dr. Ziegenfuss developed and taught a two-hour training course in ethics that meets the requirements of the Virginia Board of Accountancy for Virginia CPAs from 2004 to 2005. Starting in 2016, he has delivered the VSCPA Required Ethics Course for CPAS. He annually presents the course 35 times to approximately 1500 CPAs. Dr. Ziegenfuss has served on the citizens audit committee for The City of Virginia Beach and Norfolk Public Schools. He is also the Auditing Committee Chair for Bons Secours Hampton Roads. Dr. Ziegenfuss also established and mentored the Managerial Accounting and Auditing Club (MAAC) that functions as the student chapter for the AGA, IIA, and IMA since 1994. He has been a local chapter President six times for the local chapters of the VSCPA, IIA, FEI, and ACFE.

    Arthur Joseph Werner, J.D., M.S. (Taxation)
    Arthur Joseph Werner, JD, MS (Taxation), is the president and is a shareholder in the lecture firm of Werner-Rocca Seminars, Ltd. Mr. Werner’s lecture topic specialties include business, tax, financial and estate planning for high net worth individuals. In addition, Mr. Werner is a former adjunct professor of taxation in the Master of Science in Taxation program at the Philadelphia University. Mr. Werner received his B.S. in Accounting and his M.S. in Taxation from Widener University. He holds a J.D. in Law from the Delaware Law School. Mr. Werner lectures extensively in the areas of Estate Planning, Financial Planning, and Estate and Gift Taxation to Certified Public Accountants and Financial Planners, and has presented more than 3000 eight-hour seminars over the past twenty-five years as well as numerous webinars and video presentations.     Making the Best of Bad Situations (6)
    This course helps the practitioner understand planning considerations and potential problems when certain “bad situations” happen to his/her client. This course will explore a variety of bad situations and provide the practitioner an understanding of the tax and non-tax circumstances to be considered when advising a client who is experiencing a bad situation.

    OBJECTIVE:
    At the end of this course you will be able to: 

    • Recognize tax and non-tax issues of various circumstances that a client classifies as bad situations.

    Tax, Financial, and Estate Planning Strategies Under the Trump Admin (8)
    As the Internal Revenue Code goes through changes, tax planning, financial planning, and estate planning techniques and strategies will need to be changed. In this course, the participant will learn how either proposed or actual legislative changes will affect these planning areas. Special planning circumstances (for example, single-parent issues) will be discussed within this context. This novel course is one that practitioners cannot afford to miss if they provide planning services to clients. 

    OBJECTIVES:
    At the end of this course you will be able to: 

    • Recognize how proposed and/or actual changes to the Internal Revenue Code will affect the tax planning, financial planning, and estate planning techniques.

    Upon completing this course the student will know the major individual and business changes made by the 2018 Tax Cuts and Jobs Act. 

    Course Description:
    We will review all of the new changes from the 2018 Tax Bill, plus, as time allows, review how the changes affect business entity decisions and the necessary steps to change entities.

    On December 22, 2017 the President signed the Tax Cuts and Jobs Act into law as the biggest tax law change in 30 years. Over 95% of the law goes into effect in 2018 and in this course we have two goals: first, discuss and analyze the changes for individuals and small businesses in-depth; and second, provide dozens and dozens of planning tips the professional may utilize for their clients. We include an Excel calculator of the 20% flow-through deduction and in-depth discussion of the new 20% flow-through deduction as well as discussion of how this new law may affect the choice of operating entity for a business.

    Upon the completion of this course, the student should be able to list the major tax changes affecting Federal Business tax returns (Forms 1120, 1120S & 1065) for the current year and should be able to prepare most business income tax return forms 1120, 1120S & 1065.

    Course Description: The Most Practical Tax Class Ever?
    The business in-depth class is the central reference point manual for preparing business tax returns. Similar to our 1040 class, this course begins with detailed discussions of business tax changes that have occurred during the year, whether from Congress, the IRS or the courts. 

    Also included are business formation issues such as tax-free organization and choice of entity decisions. This class then provides an in-depth look at the tax organization, filing and compliance issues for all 3 of the major forms of business entities.
    • The discussion of S corporations includes elections, late “S” election, allowed shareholders, basis rules, distributions and accounting issues as well as the use of ESBT’s, QSST’s and the Q-Sub. The “S” discussion provides the forms, elections and statements needed to convert a sole proprietor to an S corporation or to convert an LLC to an s corporation, as well as the guidance needed to convert a C corporation. The rare 338 step-up election for S corporations is discussed in example form and we also provide the instructions and elections to make a deemed dividend election or to distribute E&P before AAA. We also discuss troublesome operating issues such as officer compensation, debt basis, suspended losses and non-cash distributions.
    • The discussion of C corporations provides guidance on tax operating characteristics of the C corporation including accounting methods, choice of year-end, capital losses, net operating losses and a summary of consolidated return rules. The discussion of C corporate reasonable compensation also includes an analysis of constructive dividend problems and concludes with a review of such problem issues as personal holding companies (PHC), personal service companies (PSC) and the accumulated earnings tax (AET).
    • The LLC/partnership discussion includes organizational income tax elections and definitions and then moves to a completed example Form 1065. We discuss converting an LLC to an S corporation and provide an example election. We then move to operating issues of an LLC such as guaranteed payments, tax-free formation, partner self-employment tax issues, basis, ownership transfers and the sale of a partnership interest. Several case studies illustrated, with tax forms, the effects of a “walk-away” partner as well as the 754 step-up basis election. An in-depth discussion of equity accounts is provided along with detailed analysis of debt basis.
